Job Description
Job Requirements
- 3+ years of ECVC paralegal experience in a corporate law setting.
- A bachelor's degree or associate’s degree, or completion of a paralegal program of study.
- Strong Microsoft Office skills (Word, Excel, Outlook).
- Advanced proficiency in maintaining and updating capitalization tables, including use of equity management platforms such as Carta.
- Strong background in coordinating corporate approvals, including drafting resolutions, written consents, agreements, and related documentation, and managing electronic execution via platforms such as Adobe Sign and Dropbox.
- Demonstrated ability to facilitate corporate governance and entity recordkeeping matters, including preparation of materials for board and committee meetings.
- Direct involvement in administering stock option grants and other equity compensation arrangements, including preparation of grant notices, processing option exercises, and coordinating stock issuances.
- Proven proficiency in creating, maintaining, and managing client minute books, as well as overseeing annual and other required governmental filings.
- Demonstrated capability in managing compliance calendars for corporate entity filings and regulatory requirements.
- Working knowledge of contract review and coordination, including maintaining NDA templates, employment agreements, and other standard legal forms.
- Proficiency in creating, organizing, and administering virtual data rooms, including managing appropriate access controls for financings, M&A transactions, and other corporate events.
