The Role

As Kyndryl’s Corporate Governance / Legal Operations Specialist you will be a dynamic, detail‑oriented, and highly organized professional supporting a wide range of corporate governance, subsidiary management, and stockholder‑relations activities.

In this role you will work closely with the Corporate Secretary team and cross‑functional partners to ensure accurate governance processes, effective entity management, and timely support of Board, Committee, and stockholder matters.

As an ideal candidate, you will be comfortable managing multiple workstreams simultaneously, particularly in the areas of subsidiary management and stockholder relations, and can collaborate effectively on the preparation, review, and organization of Board and Committee materials.

You can be remote based, though this role will require travel to NYC for meetings 6-8 times a year. Preference will be given to candidates based in US Eastern or Central Time zones.

Your primary responsibilities will include:

Subsidiary Management

  • Serve as the corporate focal point for Kyndryl subsidiary companies worldwide.
  • Draft and maintain corporate governance documentation to support required corporate actions and ensure appropriate authority is documented.
  • Review and coordinate requests related to legal entity creation, modification, and elimination.
  • Assist internal clients with governance‑related information for RFP submissions and vendor or customer requests.
  • Assess and respond to delegation‑of‑authority, Power of Attorney, and other corporate documentation inquiries.
  • Manage the registered agent relationship for all U.S. subsidiaries and oversee maintenance of good standing through annual filings with Secretaries of State across the United States, Puerto Rico, and Guam.
  • Analyze jurisdiction‑specific requirements and confidentiality considerations related to Know Your Customer (KYC) and Ultimate Beneficial Owner (UBO) filings.
  • Review, prepare, and maintain organizational charts.
  • Maintain and update the global legal entity database.

Corporate Governance & Corporate Secretary Support

  • Support insider‑trading compliance processes, including trading windows, pre‑clearance workflows, and Section 16 filings (Forms 3, 4, and 144).
  • Conduct research and provide project‑management support for the Annual Meeting and Proxy Statement process.
  • Assist the Corporate Secretary team with the preparation, review, and organization of Board and Committee materials, including resolutions and presentation materials.

Stockholder Relations

  • Manage the relationship with the company’s stock transfer agent.
  • Process and respond to registered shareholder inquiries.
  • Support the Finance team with share balancing, stock repurchase activities, and governance‑related information required for financial reporting.

Project Management / Legal Operations

  • Manage and support the implementation of tools and technologies, and improved knowledge sharing among the legal team
  • Be the “go to” person for various other projects to help increase efficiency within Kyndryl’s legal team

Required Qualifications

  • Minimum of 5 years of experience supporting corporate governance, subsidiary management, corporate secretarial, compliance, or stockholder‑related functions.
  • Strong organizational and project management skills with the ability to manage multiple workstreams and competing priorities.
  • High attention to detail and ability to maintain accurate governance and entity records.
  • Ability to collaborate effectively with cross‑functional teams, including Legal, Finance, and senior stakeholders.
  • Strong written and verbal communication skills.
  • Ability to handle confidential and sensitive information with professionalism and discretion.

The compensation range for the position in the U.S. is $96,480 to $183,240 based on a full-time schedule.  Your actual compensation may vary depending on your geography, job-related skills and experience.  For part time roles, the compensation will be adjusted appropriately. The pay or salary range will not be below any applicable state, city or local minimum wage requirement.

There is a different applicable compensation range for the following work locations:

Massachusetts $96,480 to $201,480 

New York City: $115,680 to $219,840 

Washington DC: $106,080 to $201,480 

         

This position will be eligible for Kyndryl’s discretionary annual bonus program, based on performance and subject to the terms of Kyndryl’s applicable plans. You may also receive a comprehensive benefits package which includes medical and dental coverage, disability, retirement benefits, paid leave, and paid time off.  Note: If this is a sales commission eligible role, you will be eligible to participate in a sales commission plan in lieu of the annual discretionary bonus program.
