Role Description
We are seeking a highly organized and detail-oriented Contracts Manager to lead the end-to-end management of client-facing commercial contracts. This role focuses on ensuring the accuracy, compliance, and strategic alignment of contractual relationships with our clients. The ideal candidate has a strong background in negotiating and managing business-to-business (B2B) service agreements, statements of work (SOWs), and master service agreements (MSAs), with a focus on risk mitigation and business enablement.
What You’ll Do

Contract Lifecycle Management
- Oversee the full lifecycle of client contracts from initiation through execution, amendments, and renewal.
- Maintain and optimize contract templates, clause libraries, and internal workflows to align with business goals and legal compliance.
- Track key contract milestones (renewals, terminations, performance obligations) and maintain accurate records.

Review & Negotiation
- Draft, review, and negotiate a variety of commercial agreements including MSAs, SOWs, NDAs, and data protection agreements (DPAs).
- Collaborate with sales, operations, and finance to ensure contract terms reflect business needs and risk tolerance.

Compliance & Risk Mitigation
- Identify and address potential legal and operational risks in client contracts.
- Ensure compliance with internal policies, industry regulations, and client-specific requirements.
- Assist in audits, due diligence, and compliance reporting as needed.

Stakeholder Support
- Serve as a point of contact for contract-related inquiries and guidance across internal departments.
- Provide training and resources to business teams on contract standards and best practices.

Corporate Governance
- Maintain and update corporate records and databases (e.g., entity management system via Corporate Services Company).
- Prepare and file annual reports, corporate disclosures and state regulatory filings.
- Support transactional activities like mergers, acquisitions and entity formations and dissolutions, assisting with due diligence and related documentation.
Qualifications

Required
- Bachelor’s degree in Business, Law, or a related field; JD preferred, but paralegal professionals may also be considered, who have a paralegal certificate or associates degree in paralegal studies.
- Certified Commercial Contracts Manager (CCCM) or Certified Professional Contracts Manager (CPCM) is preferred but not required.
- 5+ years of experience managing commercial client contracts in a corporate or legal environment.
- Demonstrated expertise in negotiating service agreements and navigating complex client terms.
- Solid understanding of contract law, data privacy, indemnification, limitation of liability, and IP provisions.

- Industry experience in healthcare, technology, marketing, or B2B services.
