Job Description

• Handle the full spectrum of company secretarial matters for licensed entities across different regions, including incorporation, restructuring, capital injections, and winding down of entities, as well as managing statutory and regulatory filings across jurisdictions. • Organize and facilitate board, committee, and general meetings, including preparing agendas, resolutions, minutes, and presentation materials; manage follow-ups and action item tracking. • Maintain statutory registers, board books, minute books, and corporate records for all group entities, ensuring accuracy and accessibility across the organization. • Support Options/RSU administration and shareholder-related matters, partnering closely with the People & Talent and Corporate Development teams. • Ensure compliance with licensing conditions, regulatory obligations, and internal governance standards across all jurisdictions in which Airwallex operates, advising on governance best practices and improvements. • Liaise with external company secretarial service providers (e.g., Tricor), regulators, auditors, and external legal counsel to ensure seamless governance operations and timely filings.

Job Requirements

  • 5+ years of experience in company secretarial, corporate governance, or related roles within financial services, fintech, or a regulated industry.
  • Proven track record in supporting boards and senior management in a global or regional corporate structure, with the ability to manage competing priorities across multiple time zones.
  • Prior experience managing multi-jurisdictional entities and complex group structures, including entity incorporation, restructuring, and statutory compliance across different legal regimes.
  • Strong knowledge of corporate governance frameworks, directors' duties, and regulatory compliance requirements across multiple jurisdictions.
  • Excellent written and verbal communication skills, with the ability to prepare clear, concise board materials and interface effectively with directors, regulators, and cross-functional stakeholders.
