Objective: Corporate Counsel will serve on the legal team. Corporate Counsel will play a pivotal role in supporting Heffernan Group (HG) and its entities through legal complexities and ensuring compliance. This position requires a dynamic individual with a strong legal background, business acumen, and excellent communication and collaboration skills. Responsibilities Include: Provide legal advice to internal stakeholders on various corporate matters, including contracts, regulatory compliance, and business strategy. Draft, review, and negotiate a wide range of commercial agreements, ensuring legal compliance and protecting company interests. Conduct legal research to stay abreast of relevant laws and regulations affecting company operations. Collaborate with cross-functional teams to assess and mitigate legal risks associated with business initiatives. Manage and oversee litigation matters, working closely with General Counsel and external counsel when necessary. Develop and implement policies and procedures to ensure legal compliance across the company. Stay abreast of changes in laws and regulations affecting Heffernan, while ensuring proactive compliance. Assist in corporate governance matters, including regulatory filings and communications. Participate in the negotiation and execution of mergers, acquisitions, and other corporate transactions. Work closely with General Counsel and other senior leadership to align legal strategy with business objectives. Provide legal expertise for various business investments from setting up new entities to drafting applicable documentation, as necessary, with an eye to fully protecting investments. Contribute to the development and implementation of company policies and procedures. Special projects as necessary. Requirements: Strong knowledge of insurance laws, regulations, and compliance requirements. Detail-oriented with a proactive approach to problem-solving. Demonstrated ability to balance legal risks with business objectives. Conduct oneself with integrity and responsibility. Must be able to maintain confidentiality. Must be able to work with a wide variety of individuals. Proficient in MS Office – notably Word, Excel, and PowerPoint. Ability to thrive in a fast-paced, dynamic environment. The offer will depend on the geographic region, job-related knowledge, skills, and experience, among other factors. This role will be eligible to participate in a discretionary annual incentive program.
