Role Description

This role offers a unique opportunity to operate at the intersection of law, technology, and business strategy, providing critical commercial legal guidance to support complex partnerships and vendor agreements. The Commercial Lawyer will help structure, negotiate, and execute high-impact contracts that enable growth, mitigate risk, and accelerate product adoption. You will work closely with cross-functional teams including Sales, Procurement, Product, and Finance to provide practical, risk-aligned solutions while maintaining a strong focus on compliance and operational efficiency. This position requires a combination of strong legal expertise, commercial acumen, and collaborative problem-solving skills. You will have the chance to shape scalable legal processes, contribute to strategic initiatives, and support innovative technology solutions in a fast-paced, digital-first environment. Ideal candidates are proactive, solutions-oriented, and comfortable navigating complex, high-stakes negotiations.

  • Serve as commercial counsel on a wide range of vendor and commercial agreements, including SaaS, data, professional services, and other third-party contracts.
  • Review, draft, and negotiate contracts, balancing legal risk with commercial objectives and business opportunities.
  • Collaborate with internal stakeholders across Sales, Procurement, Product, and Finance to align contracts with business goals.
  • Support efficient deal flow by managing contract intake, approvals, and escalations through legal tools and platforms.
  • Develop and maintain scalable playbooks, templates, and training to support commercial operations.
  • Provide guidance on privacy, data security, and compliance matters as part of commercial negotiations.
  • Contribute to continuous improvement of legal processes to streamline commercial operations and enhance risk management.

Qualifications

  • J.D. degree with strong academic credentials and active state bar membership (NY or CA preferred).
  • 5+ years of experience in technology-focused commercial transactional law, either in-house or at a law firm.
  • Proven track record negotiating complex SaaS, data, and vendor agreements, preferably in regulated industries.
  • Strong analytical judgment and high emotional intelligence to navigate complex deals and achieve consensus.
  • Familiarity with privacy, information security, and data-use provisions, including DPAs and security exhibits.
  • Excellent communication and collaboration skills, able to translate complex legal concepts for non-legal stakeholders.
  • Proactive problem solver with ownership mentality and the ability to drive matters from inception to execution.
  • Experience in start-up, high-growth, or fintech environments is highly desirable.
