Job Description
Role Description
TerraForm Power is looking to hire a Senior Paralegal to join its legal team and will report to the General Counsel. The Senior Paralegal will be an integral member of TerraForm Power’s legal team and will provide support on all legal matters.
- Manage TerraForm Power’s 300+ subsidiaries, including creation/dissolution of entities, drafting of LLCAs and other organizational documents.
- Maintain corporate organizational charts and entity listings.
- Support on corporate governance matters, including drafting of board consents and minutes; maintenance of minute books and records for all subsidiaries.
- Coordinate director & officer slate changes and draft necessary corporate and regulatory documents for any changes.
- Respond to KYC requests from external stakeholders, including banks and other financial institutions.
- Manage contraction execution to ensure compliance with internal policies and procedures.
- Assist internal counsel on transaction execution, including preparation and population of virtual data rooms, interaction with various internal business units and outside counsel as required, and drafting and review of closing deliverables, such as resolutions and officer’s certifications.
- Coordinate with internal stakeholders and external counsel on compliance and regulatory matters, including regarding FERC.
- Review and process legal invoices and provide support on legal billing matters.
- Provide notary public services.
- General support on all other matters handled by the TerraForm Power legal team.
Qualifications
- Minimum of five (5) years of experience as a paralegal in a fast-paced and dynamic law firm or in-house environment.
- Paralegal diploma or equivalent education/experience.
- High proficiency in Microsoft Word, Outlook and Vizio as well as knowledge of Excel and PowerPoint.

Benefits
- Compensation: $90,000 - $130,000 USD, bonus eligible.
