• Provide expert advice on securities law compliance, including 1933 Act and 1934 Act filings (Forms 10-K, 10-Q, 8-K, Section 16, S-8, etc.) • Lead preparation and review of the proxy statement and annual report • Support corporate disclosure and review of earnings materials and sustainability reports • Support engagement with institutional investors on sustainability, executive compensation, and corporate governance topics • Manage relationships with proxy advisory firms (ISS, Glass Lewis, etc.) and develop responsive strategies to their recommendations • Oversee annual and special meeting processes, including coordination with proxy solicitors, financial printers, and transfer agents • Advise on director elections, stockholder proposals, and shareholder activism preparedness • Work closely with accounting, investor relations, HR, and communications to ensure consistency in disclosure, messaging, and governance positioning • Serve as a senior member of the corporate legal leadership team and mentor more junior attorneys.
