Job Description

• Populate forms, document assembly, due diligence checklists, closing binders, and related transactional support. • Document management: create and manage secure client datarooms, oversee document exchanges, and handle signatures (Clio Drive for storage, SignWell for e-signatures). • Coordinate filings with Cogency Global or directly with DE SOS/CA SOS; prepare Form D and other securities filings as needed. • Client interaction: scheduling, handling inquiries, assisting with client relationships. • Non-billable setup: migrate existing client documents to Clio Drive/SharePoint, create templates, draft engagement letters.

Job Requirements

  • 3+ years of paralegal experience in corporate transactional work; closings and diligences preferred.
  • Proficiency with Clio Manage, Clio Drive, SignWell, RingCentral (phone and fax), Cogency Global, Form D filings, EIN filings and MS 365.
  • Strong written and spoken English; excellent communication.
  • Ability to work with minimal supervision and maintain high accuracy and attention to detail.
