Job Description

• Provides guidance to clients in structuring transactional activities to most effectively achieve Conservancy goals for the project • Drafts, reviews and negotiates, and advises clients on complex agreements with financial service providers and fund managers • Serves clients in legal matters related to finance and investments • Advises other attorneys based on substantive expertise • Serves in an advisory role organization-wide on key issues or major projects • Influences decision-makers at all levels of the Conservancy through strong communication skills • Manages outside counsel effectively • Advises on corporate governance and management issues relating to subsidiaries and affiliated entities • Assists in establishing and implementing policies and procedures that support organizational goals and ensure compliance with laws and regulations • Performs special projects as requested by department management

Job Requirements

  • Juris Doctorate or equivalent and license to practice law in at least one U.S. jurisdiction
  • Five (5) years relevant legal experience, including negotiating complex transactions and agreements with a strong background in fund formation and venture capital work
  • Securities law expertise
  • Experience negotiating limited partnership agreements and/or working on general partner funds
  • Solutions-oriented and able to navigate the grey both creatively and decisively
  • Enjoys being a collegial team player
  • Demonstrates gravitas and comfort working with senior-level contacts
  • Strong business sense and commercially minded
  • Sense of humor.
