Role Description

This role offers the opportunity to serve as the senior legal authority and strategic advisor within a dynamic, high-growth environment. You will provide expert guidance to the executive team on corporate governance, regulatory compliance, risk management, and commercial strategy. The position requires building scalable legal infrastructure, managing complex contracts, and overseeing litigation and compliance initiatives. You will have a direct impact on shaping business decisions, mitigating risk, and supporting organizational growth across multiple functions. The role is remote with periodic travel for leadership meetings and requires a proactive, hands-on approach to legal strategy and operational execution.   • Serve as chief legal advisor to the executive leadership team, providing business-oriented guidance on commercial, regulatory, and risk matters.
  • Build and implement scalable legal infrastructure, including contracts, governance practices, compliance frameworks, and risk management standards.
  • Lead drafting, review, and negotiation of complex commercial agreements across vendors, technology, logistics, and strategic partnerships.
  • Oversee corporate governance, including board support, resolutions, corporate records, and subsidiary management.
  • Identify, assess, and mitigate enterprise-wide legal risk across e-commerce operations, consumer protection, employment practices, and regulatory compliance.
  • Manage litigation strategy, oversee outside counsel, and ensure cost-effective, timely resolutions aligned with business priorities.
  • Develop internal policies, training programs, and governance frameworks to support ethical conduct and regulatory compliance.
  • Represent the organization in interactions with regulators, investors, auditors, lenders, insurers, and other external stakeholders.

Qualifications

  • Juris Doctor degree and admission to practice law in at least one U.S. jurisdiction.
  • Minimum of 10 years of progressively responsible legal experience, including law firm and in-house counsel roles.
  • Proven experience advising senior executives on corporate governance, regulatory compliance, and enterprise risk.
  • Strong track record in structuring, drafting, and negotiating complex commercial agreements.
  • Experience managing litigation and directing outside counsel.
  • Preferred: Experience in private equity-backed or high-growth companies and building or scaling in-house legal functions.
  • Exceptional analytical, strategic, and communication skills with the ability to influence across functions without formal authority.
